Terms of Service

Last updated: [FILL IN: date these terms take effect]

About these terms

These terms cover your use of getlumapos.com and the LumaPos point-of-sale app, which are run by Channing & Company LLC, based in Atlanta, Georgia ("we" or "us"). By applying for the pilot, signing in, or using LumaPos, you agree to these terms for yourself and for the business you represent. Our Privacy Policy explains how we handle information.

LumaPos is in a pilot

LumaPos is pre-launch software offered to a small number of independent businesses. Features may change, be added, or be removed during the pilot, and the service may sometimes be unavailable. Card payments run in our payment processor's test environment until live processing is turned on for your business, and test transactions don't move real money.

Applying for the pilot doesn't guarantee a place in it. We choose pilot businesses at our discretion.

Pricing

There's no charge to apply. Any price for using LumaPos is agreed with your business in writing before card payments go live. If that written agreement conflicts with these terms, the written agreement controls.

Card processing

Card payments are processed by Finix Payments, Inc. To accept live card payments, your business must be approved for a merchant account and agree to the processor's terms: [FILL IN: name of and link to the Finix merchant terms your businesses will accept]. The processor decides whether to approve your business and may hold, delay, or reverse funds under its own terms. We don't control those decisions.

Your account and your staff

  • Keep your sign-in password and your staff PINs private. You're responsible for what happens under your account and your staff's PINs.
  • Give staff only the roles they need. Managers can approve discounts, refunds, voids, and shift closes.
  • Tell us right away at [FILL IN: support contact email] if you think someone has used your account without permission.

Your responsibilities

  • Check that your item prices, tax rates, and discounts are correct. Sales totals are calculated from what you enter.
  • Follow the laws that apply to your business, including sales tax, consumer protection, and privacy laws, and the card network rules your processor requires.
  • Count your cash drawer and review your daily reports. LumaPos records cash, but you're responsible for the cash itself.
  • Use LumaPos only for lawful sales by your own business.

Acceptable use

You agree not to:

  • Enter card numbers, bank details, or passwords anywhere LumaPos doesn't ask for them
  • Try to get into another business's data, or into parts of LumaPos your role doesn't allow
  • Probe, scan, or overload the service, or get around its security
  • Copy, resell, or reverse engineer LumaPos

We may suspend or end access for anyone who breaks these rules or puts other users or the payment system at risk.

Your data

Your business owns its sales records, item lists, and staff information. You give us permission to store and process that data only to run LumaPos for you, as described in the Privacy Policy. If your business leaves the pilot, you can ask for a copy of your sales records at [FILL IN: support contact email]. The activity log can't be edited or deleted, so its entries are kept.

Our software

LumaPos, its design, and its code belong to Channing & Company LLC. You get a limited, non-transferable right to use it for your business during the pilot.

If you send us feedback or ideas, we may use them to improve LumaPos without owing you anything for them.

Ending the pilot

Either of us can end your use of LumaPos at any time by telling the other in writing. We'll give you [FILL IN: notice period] notice before we end the pilot for your business, unless we need to act sooner to protect the service, other users, or the payment system.

No warranty

Because LumaPos is pilot software, it's provided "as is" and "as available." To the extent the law allows, we don't promise that it will be error-free or always available, and we disclaim all implied warranties, including merchantability and fitness for a particular purpose. Keep your own records of anything your business can't afford to lose.

Limits on liability

To the extent the law allows, we aren't liable for lost profits, lost sales, lost data, or indirect or consequential damages. Our total liability for any claim about LumaPos is limited to [FILL IN: liability cap, for example the amount you paid us in the 12 months before the claim].

Governing law

These terms are governed by the laws of the State of Georgia. Any dispute will be handled in the state or federal courts in [FILL IN: county, for example Fulton County, Georgia]. [FILL IN: confirm Georgia law and venue with your lawyer]

Changes to these terms

If we change these terms, we'll update the date at the top of this page and email pilot businesses before the change takes effect. If you keep using LumaPos after that, the new terms apply.
